MODERATOR AGREEMENT
I, a user who has registered to utilize the services provided by the RedPaint mobile application and website (referred to as the "Services"), and subsequently assumed the role of Moderator within the Services, hereby acknowledge and accept the responsibilities associated with being a Moderator (hereinafter referred to as the "Moderator," "themselves", "they", "their", "it", "you", "your"), hereby agree to the terms and conditions outlined herein (the "Agreement"), as follows:
- AGREEMENT
1.1 The Moderator commits to following established moderation guidelines and ethical standards outlined herein and is obliged to diligently apply the MODERATION RULES AND CRITERIA as outlined in the Moderation Manual when reviewing Vendor's information or content, including, but not limited to: Vendor business description, images, special offers, events, Gifts, Rewards, and banner advertisements (henceforth referred to as "Content").
1.2 The Moderator is expected to thoroughly study and become well-versed in all the MODERATION RULES AND CRITERIA presented herein as well as in the Moderation Manual.
- MODERATOR OBLIGATIONS
2.1 Moderation hours: The Moderator will receive notifications for assigned moderation tasks on the RedPaint app through email and/or push notifications. The Moderator agrees to fulfill all Moderation Tasks within TWO (2) HOURS (two-hour rule) from the moment of receiving such notification, during the following days and hours:
Mondays - Saturdays: 08:00AM to 18:00AM
While Moderators are not mandated to conduct any Moderation Tasks beyond these hours or on Sundays, they retain the freedom to engage in Moderation Tasks at their leisure, regardless of the time.
2.2 If the Moderator fails to complete any moderation task within the specified two-hour timeframe, the penalty (Strike) rules will be enforced (additional information regarding Strikes is detailed below in point 5).
2.3 The Moderator is allowed to recruit (invite) businesses to join the RedPaint app as Vendors by utilizing the "Invite A Business" button accessible in the Red Paint app's menu. An automated email will be sent to these businesses, inviting them to sign up as a Vendor. Any invited business that successfully signs up as a Vendor on RedPaint, will be assigned to the Moderator's account. The Moderator will then be responsible for moderating the Content of such Vendors before it is published on the app. It is worth noting that there are limitations on the number of Vendors a Moderator can assign, based on the Moderator's Workload Rating and performance (further details about Workload Rating are provided below).
2.4 The Moderator will accept all moderation tasks of these assigned Vendors and will assume the responsibility of reviewing and moderating all Content submitted by them.
2.5 RedPaint may, at its own discretion, assign Vendors or Moderation Tasks to the Moderator under the following circumstances:
2.5.1. When the Moderator invites a business to sign up with RedPaint and such business successfully signs up with RedPaint as Vendor.
2.5.2. When a random (uninvited) business signs up with RedPaint as a vendor, and
2.5.3. When another Moderator is suspended or opts to temporarily pause their moderation function, and
2.5.4. When another moderator permanently ceases their moderation status, Vendors may be reassigned to the Moderator's account, in which case the Moderator shall assume responsibility for reviewing and moderating all Content submitted by such Vendors. In this scenario, the Vendor will be associated with the Moderator’s account.
2.6 Through the Moderation Panel, Moderators have access to detailed reports of all their individual commission transactions. These reports may include information about vendor expenses on RedPaint, which the Moderator is expected to treat as confidential.
- COMPENSATION / COMMISSIONS
3.1 Vendors make payments to RedPaint for various services, including but not limited to promotional campaigns, purchases of credit (Red Beans), and to run banner advertisement campaigns on the RedPaint app. The Moderator will receive a commission, calculated as a percentage (%) of all payments made by Vendors to RedPaint, for those Vendors assigned to the Moderator's account, as outlined in this Agreement.
3.2 The commission percentage is susceptible to periodic adjustments and might fluctuate based on the type of purchase. RedPaint retains the right to modify this commission percentage at its sole discretion as deemed necessary. However, it will never be reduced below a minimum of two percent (2.0%) of the Vendor's payment to RedPaint.
3.3 Commission payments will be transferred to the Moderator through a payment system or gateway selected and utilized by RedPaint at its sole discretion, with the potential for changes over time. These payments can be either instant or subject to a slight delay of a few days, and they may be processed either automatically or manually. The particular details of these transactions will depend on the payment system or gateway in use by RedPaint at the time.
3.4 Upon advancing to Moderator status, the Moderator shall create an account with the designated payment gateway (information regarding the payment gateway service provider will be disclosed in the upgrade procedures when the user applies to upgrade to Moderator status), as mentioned in clause 3.3 above. Additionally, the Moderator shall furnish RedPaint with the requisite payment gateway details of their account, as requested by Red Paint periodically, which will enable RedPaint to fulfil its obligation towards payment to the Moderator under this Agreement.
3.5 At present, RedPaint utilizes PayFast (specifically for South Africa) to facilitate these commission payment services, which might vary from country to country. Nonetheless, RedPaint reserves the right to modify this arrangement at its sole discretion.
3.6 In the unlikely event that RedPaint changes the payment gateway, any such alteration will invariably ensure the Moderator's continued receipt of payments. The Moderator hereby agrees to promptly provide new payment gateway credentials if and when requested by RedPaint.
- WORKLOAD RATING AND ASSIGNMENT OF VENDORS AND MODERATION TASKS
4.1 Vendors are assigned to a Moderator as follows:
4.1.1 When a Vendor successfully signs up with Red Paint who were invited by the Moderator, and
4.1.2 When Vendors signs up by themselves (randomly without any invitation), RedPaint may assign such Vendors to the Moderator's account from time to time.
4.1.3 When another Moderator ceases their moderator status, Vendors may be reassigned to your moderator account.
4.1.4 RedPaint may also assign Vendors or Moderation Tasks temporarily to your moderator account from time to time.
4.2 The Moderator’s Workload Rating (WLR) is constantly and automatically calculated as the average time it takes the Moderator to perform moderation tasks within the required two-hour period – which is presented as a percentage (%). The quicker the Moderator execute Moderation Tasks the lower the WLR percentage will be.
4.3 By performing moderation tasks quicker, Moderators can reduce their WLR (%) which will allow RedPaint to assign more Vendors to the Moderator, which means increased earnings for the Moderator.
4.4 The Moderator’s WLR (%) will be visible ONLY to themselves in the RedPaint app and to RedPaint administrators in the RedPaint administration back-end console.
4.5 To prevent Moderators from becoming overburdened and subsequently failing to complete moderation tasks within the 2-hour time constraint, a Workload threshold of eighty percent (80%) is established. Reaching this threshold will lead to the pause of new Vendor assignments to the Moderator until the Workload rating drops below the 80% mark. This measure is designed to avert potential delays and penalties (Strikes).
- MISCONDUCT, BREACHING AND PENALTIES (STRIKES)
5.1 Any MISCONDUCT, transgression or breach by a Moderator of any terms and conditions of this Agreement and/or the Moderation Criteria as set out in the Moderation Manual will result in a penalty – known as a “Strike” – to the Moderator’s account.
5.2 A Moderator may receive a Strike for the following reasons:
5.2.1 Each time the Moderator does not complete any moderation task within the required two-hour time constraint, as explained in paragraph 2.1 under MODERATOR OBLIGATIONS; and
5.2.2 Each time the moderator approves a Vendor’s content that are not in line with the moderation guidelines as set out in the Moderation Manual which forms part of this Agreement.
5.3 Should the Moderator fail to execute any moderation task as specified in paragraph 2 under MODERATOR OBLIGATIONS and received two (2) penalties (Strikes), RedPaint reserves the right, upon the third Strike, to:
5.3.1 Temporarily suspend the Moderator's capability to perform Moderation Tasks for a period of fourteen (14) days. During this suspension, the Moderator will not receive any commission payments, and
5.3.2 Temporarily reassign all moderation tasks linked to the Moderator’s account to another Moderator(s), and
5.3.3 Once the 14-day suspension period has lapsed, the Moderator’s suspension will be lifted, enabling the Moderator to resume moderation duties and continue receiving payment.
5.4 In extreme situations where the actions of the Moderator could potentially harm RedPaint or its users in any manner, Red Paint retains the right to:
5.4.1 Permanently cease all of the Moderator's privileges; and
5.4.2 Initiate legal proceedings against the Moderator by pursuing damages through a court of law. This legal action is aimed at compensating for any harm caused to RedPaint, its reputation, or any user or Vendor, arising from breaches, whether resulting from negligence, lack of awareness, or deliberate malicious intent on the part of the Moderator.
5.4.3 Impose a ban (blacklist) on the Moderator, rendering them unable to access any of the services offered by RedPaint for an indefinite period.
5.5 Contingent upon permanent termination of the Moderator and/or transfer of moderation tasks as described in paragraph 5.4 above, any potential future commissions associated with these tasks or Vendors shall be forfeited by the Moderator. Additionally, the Moderator shall have no grounds for any claims against RedPaint.
- TERMINATE OR PAUSE MODERATION
6.1 In the event that the Moderator becomes unable to fulfill their obligations under this agreement, either temporarily or permanently, or requires a brief hiatus, they may choose to take one of the following actions:
6.1.1 Temporarily pause their obligations as outlined in this Agreement by activating the PAUSE button in the app. However, the Moderator will not be allowed to RESUME their moderation services within 12 hours from pausing it.
6.1.2. Furthermore, in the event that the Moderator pauses its moderation services for longer than 30 days, their status as Moderator will be permanently revoked, and the Moderator will lose all moderator privileges. During this period, any commissions due to the Moderator will be forfeited. The Moderator can thus terminate its moderation services by simply pausing it for longer than 30 days.
6.1.3 Permanently terminate the Agreement by pausing their moderator services for longer than 30 days (indefinitely). In such a case, no commissions will be owed or paid to the Moderator from the time the pause was initiated by the Moderator, and all Vendors previously assigned to the Moderator will be permanently re-assigned to another Moderator(s) at the sole discretion of RedPaint.
6.2 If the Moderator temporarily pauses their obligations as specified in paragraph 6.1 above, they have the option to resume their responsibilities at any point after the 12-hour restriction, but within the 30-calendar day limit. Upon resumption, the regular commission payments to the Moderator will commence as before.
- MODERATION RULES AND CRITERIA
7.1 Users will receive an email notification (sent to the email address associated with their RedPaint account) confirming the acceptance of their application to become a Moderator. This email will include a link enabling the Moderator to access and download the Moderation Manual. This comprehensive guide encompasses all MODERATION RULES AND CRITERIA necessary for the proper execution of moderation tasks.
7.2 The Moderator commits to thoroughly studying and becoming acquainted with the Moderation Manual. The Moderator shall strictly adhere to and comply with the prescribed Moderation Criteria and Rules when evaluating Content (or any other material that becomes integral to the criteria). This involves making decisions to approve, decline, or refer said Content.
7.3 If the Moderator finds themselves unsure about whether to approve or decline certain Content, they have the option to REFER the moderation task to a Master Moderator by selecting the "REFER” button in the RedPaint app. In this circumstance, the Moderator may forego any commission that may be related to such moderation tasks, where applicable. - NON-EMPLOYMENT AGREEMENT
I, the Moderator, acknowledge and agree that my engagement is that of an independent contractor. I understand that serving as a Moderator for RedPaint DOES NOT establish an employer-employee, agent-principal, affiliate-partner, shareholder, or any other form of relationship whatsoever between myself and RedPaint or their affiliated company(s).
I commit to carrying out my responsibilities in accordance with the Moderation Manual and the obligations outlined for a Moderator in this Agreement, of my own volition. I also recognize that, under no circumstances, shall I have any entitlement or initiate any claims against RedPaint, their affiliated companies, directors, shareholders, or employees.
BY APPLYING TO BECOME A MODERATOR I ACCEPT ALL OF THE TERMS AND CONDITIONS HEREIN.
